Access to and use of FutureLogic Exchange, the password protected and secured area of this Site, is restricted to authorized users only. Individuals misusing passwords and unauthorized individuals attempting to access FutureLogic Exchange may have their password access withdrawn and may be subject to civil liability and criminal prosecution. Confidential Information

Definition of Confidential Information. You agree that information disclosed by FutureLogic, Inc. to you regarding any FutureLogic, Inc. product(s) is "Confidential Information". Confidential Information includes but is not limited to: 1) information learned by you from FutureLogic, Inc. employees, agents, or through inspection of FutureLogic's property relating to FutureLogic's products, designs, software, firmware, business plans, business opportunities, finances, research and development, know-how, or personnel; 2) third party confidential information disclosed to you by FutureLogic, Inc.; 3) the terms and conditions of this Agreement; and 4) the existence of any discussions between you and FutureLogic, Inc. Confidential Information, however, does not include information that: 1) is now or subsequently becomes generally available to the public through no fault or breach by you; 2) you can demonstrate to have had rightfully in your possession prior to disclosure to you by FutureLogic, Inc.; 3) is independently developed by you without the use of any Confidential Information; or 4) you rightfully obtained from a third party who has the right to transfer or disclose the information.

Definition of Documents. For purposes of this TOU, the term "Documents" includes all Confidential Information fixed in any medium of expression, in whatever form or format.

Definition of Derivatives. For purposes of this Agreement, "Derivatives" shall mean: 1) for copyright-able or copyrighted Confidential Information, any translation, abridgment, revision or other form in which an existing work may be recast, transformed or adapted; 2) for patent-able or patented Confidential Information, any improvement thereof; and 3) for Confidential Information which is protected as a trade secret, any new material derived from such existing Confidential Information, including new material which may be protected by copyright, patent, and/or trade secret law.

Nondisclosure and Nonuse of Confidential Information

You will not disclose, publish, or disseminate Confidential Information to anyone other than those of your employees with a need to know, and you agree to take reasonable precautions to prevent any unauthorized use, disclosure, publication, or dissemination of Confidential Information. You understand and agree that the right to manufacture or reproduce Confidential Information or any of its Derivatives is permitted by other licensing agreements and is not covered in this Agreement. You agree not to use Confidential Information for your own or any third party's benefit and you may not use Confidential Information for the purposes of reverse engineering.

Ownership of Confidential Information

All Confidential Information, and any Derivatives thereof whether created by FutureLogic or you, remains the property of FutureLogic and no license or other rights to Confidential Information is granted or implied hereby.

Return of Documents

Within ten business days of receipt of FutureLogic's written request, you will return to FutureLogic all Documents, records and copies thereof containing Confidential Information.

Equitable Relief

You hereby acknowledge that any unauthorized disclosure or use of Confidential Information could cause irreparable harm and injury to FutureLogic that may be difficult to ascertain. Accordingly, you agree that FutureLogic will have the right to seek and obtain immediate injunctive relief to enforce obligations under this Agreement in addition to any other rights and remedies it may have.

No Export

You certify that no Confidential Information, or any portion thereof, will be exported to any country in violation of the United States Export Administration Act and regulations thereunder.

Laws and Regulations

Your access and use of this Site is subject to all applicable international, federal, state and local laws and regulations. This TOU shall constitute an Agreement, the terms and performance of which shall be governed by and construed in accordance with the laws of the State of California without regard to its conflict of law provisions. The section titles in the TOU are for convenience only and have no legal or contractual effect.

Violation of TOU

FutureLogic, Inc. reserves the right to seek all remedies available at law and in equity for violations of this TOU, including the right to block access from a particular Internet address or for particular registered users to this Site.
